1. Acceptance of Terms

By accessing or using Nirodha ("the Service"), operated by Nirodha ("we," "our," or "us"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use after such modifications constitutes acceptance of the updated Terms.

2. Description of Service

Nirodha is an AI-powered personal information management tool that allows users to capture thoughts, tasks, reminders, and ideas via a Telegram bot or web dashboard. The Service uses artificial intelligence to classify, organize, and generate content based on user inputs. The Service is provided "as is" and "as available" without any warranties of any kind.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account Registration

To use the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for any reason, including but not limited to a breach of these Terms.

5. Subscription & Billing

Nirodha offers a 14-day free trial followed by a paid subscription at $9 USD per month. Billing is handled by LemonSqueezy.

6. User Content

You retain ownership of all content you submit to the Service ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, worldwide license to use, process, store, and transmit your content solely for the purpose of providing and improving the Service, including processing by third-party AI services.

You are solely responsible for your User Content. You agree not to submit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable. We reserve the right to remove any content that violates these Terms.

7. AI-Generated Content

The Service uses artificial intelligence to classify content, generate reports, and provide recommendations. You acknowledge and agree that AI-generated content may contain inaccuracies, errors, or omissions. AI-generated content is provided for informational purposes only and should not be relied upon as professional, legal, medical, financial, or other specialized advice. We make no representations or warranties regarding the accuracy, completeness, or reliability of any AI-generated content. You use AI-generated content entirely at your own risk.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY CONTENT, INCLUDING AI-GENERATED CONTENT, WILL BE ACCURATE, RELIABLE, OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NIRODHA, ITS OWNERS, OPERATORS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY DOLLARS ($50 USD), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Nirodha and its owners, operators, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of any third party; or (e) any claim that your User Content caused damage to a third party.

11. Third-Party Services

The Service integrates with third-party services including but not limited to Telegram, Supabase, Anthropic (Claude AI), LemonSqueezy, and Vercel. Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or practices of any third-party services, and we accept no liability for any loss or damage arising from your use of them.

12. Data Loss

While we take reasonable measures to protect your data, we are not liable for any data loss, corruption, or unauthorized access. You are responsible for maintaining your own backups of any critical information stored in the Service. We strongly recommend exporting important data regularly.

13. Service Availability

We do not guarantee that the Service will be available at all times. We may modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, and without liability to you. We may also impose limits on certain features or restrict access to parts of the Service without notice or liability.

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms, including but not limited to:

The Service, including its design, features, code, and branding, is owned by Nirodha and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our prior written consent. All trademarks, service marks, and logos used in the Service are the property of their respective owners.

16. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. Sections relating to intellectual property, disclaimers, limitations of liability, and indemnification shall survive termination.

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of New South Wales, Australia.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nirodha regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
